Healthcare Industry Report - Q3 2026

Healthcare entered the final stretch of 2026 with fewer deals and more selective buyers. Higher financing costs and changing state regulations slowed transactions, extending timelines and complicating deal structures.

Demand held firm for outpatient platforms and providers with defensible reimbursement, where recent policy shifts are working in their favor.

With timelines longer, sellers that bring clean revenue cycles, strong physician alignment and deep management teams appear best positioned heading into next year.

Sector Performance

Healthcare Q3 2026 Industry Index Value Performance

Healthcare Q3 2026 Market Performance by Sector

Life Sciences Tools & Services led the quarter. Its index climbed from a May low to the top of the chart, rising 25.0% in the third quarter and 44.5% over the year. The climb began with July earnings and continued into September. IQVIA reported record research bookings, up 19% from a year earlier, and raised its full-year outlook.1 Thermo Fisher also raised its outlook, citing mid-single-digit growth from pharma and biotech customers.2

Drug developers extended their yearlong rally. Biotechnology rose 9.2% for the quarter and 37.6% over the year, finishing near its high. The Pharmaceuticals index also held near its high. William Blair noted that biotech stocks reached a five-year high in August, led by larger, commercial-stage companies.3 Acquirers were active in the same space, as the M&A section shows.

Managed Healthcare, the second quarter's leader, reversed course. Its index peaked in the first week of July and fell 12.8% for the quarter, though it remains up 14.5% from a year ago. The decline began in mid-July, when Elevance reported weaker Medicaid margins as reimbursement rates lagged costs. Shares of other insurers fell the same day amid concerns that similar margin challenges could affect their businesses.4 Losses continued through September.

Elsewhere, IT & Digital Health and Medical Devices & Equipment ended the quarter near their lows for the year, and Healthcare Services edged higher.

Healthcare Q3 2026 Industry EV/EBITDA Multiples

Valuations tracked the same stories. The Life Sciences Tools & Services multiple climbed to 22.7x, the highest point on the chart and well above the S&P 500 at 18.1x. Research suppliers commanded the highest valuation multiple among the Healthcare sectors tracked. Biotechnology's multiple rose to 17.6x, near its high for the period, alongside gains in its share prices.

Managed Healthcare & Insurance moved the other way. Its multiple fell to 11.4x from 14.3x at the early-July peak, tracking the decline in its shares.

Middle-Market M&A Perspective

Healthcare Q3 2026 Industry Stock Price Performance

The Dinan Healthcare Index† tracks publicly traded middle-market healthcare companies. It was essentially flat for the quarter, slipping 0.4%, which still placed it ahead of four of the seven sector indices. Over the past year it gained 23.1%, ahead of the S&P 500 at 15.2%. Publicly traded middle-market healthcare companies held relatively steady while several broader sector indices experienced sharper swings.

Healthcare Q3 2026 Industry EBITDA Multiple Trends vs Dinan Index

The index multiple held near 14.4x, compared with 18.1x for the S&P 500. That level sits above four of the seven sector multiples, including Pharmaceuticals and Medical Devices & Equipment. It is also higher than a year ago, when the index traded near 12.8x.

Public middle-market valuations held up, but healthcare deal activity thinned. LevinPro tracked fewer physician group deals and said state oversight in California and Oregon is lengthening deal timelines.5 For sellers in those segments, a steady public benchmark has come alongside a slower path to closing. In June, PwC described buyers as selective, favoring reimbursement visibility and durable margins.6

Federal policy is also tilting toward outpatient care and independent providers. In July, the Centers for Medicare & Medicaid Services proposed adding 618 procedures that Medicare would cover in surgery centers.7 It also proposed a 2.4% payment increase for those centers.7 The same proposal would cut payments to hospital outpatient departments for some imaging and for drugs bought through the federal 340B discount program.8 Providers have also prevailed in a majority of payment disputes with insurers. Under the No Surprises Act's independent dispute resolution process, providers prevailed in about 85% of payment determinations in the second half of 2025.9 In April, a federal court in California rejected an insurer's request to overturn a group of those awards.10 For middle-market surgery centers and provider groups, these proposed policy changes, if finalized, could strengthen the reimbursement visibility that buyers have favored.6

M&A Activity & Transaction Environment

Healthcare Q3 2026 Transaction Volumes

Healthcare recorded 555 transactions in Q3 2026, down 33.8% from the second quarter and 18.5% from a year earlier. This marked the lowest quarterly volume shown on the chart, reversing the rebound recorded in Q2. In September the Federal Reserve raised rates for the first time since 2023, lifting borrowing costs for buyers who rely on debt.11

Healthcare Q3 2026 Recent Transactions

Large transactions continued despite the slowdown, particularly among drug developers. AbbVie's $10.7 billion acquisition of Apogee Therapeutics adds clinical-stage immunology assets.12 Vertex's $8.9 billion purchase of Crinetics Pharmaceuticals came at a 100% premium to Crinetics' prior closing price.13 Angelini Industries acquired Catalyst Pharmaceuticals for $4.1 billion.

Buyers also pursued specialized healthcare platforms. Universal Health Services closed its purchase of Talkspace to add virtual therapy to its behavioral health network.14 Astorg acquired Thermo Fisher's microbiology business, the type of carve-out PwC said was accelerating as companies divest noncore assets.6

Outlook & What to Watch

Managed care entered the fourth quarter with UnitedHealth having raised its full-year outlook on October 13.15 September consumer prices rose 3.7% from a year earlier, and Fed projections point to one more rate increase this year.16, 11 Whether deal volume recovers will depend on financing costs and the pace of regulatory reviews. In the meantime, buyers are likely to remain selective, favoring healthcare businesses with predictable reimbursement, stable margins and experienced management teams.
